Welcome to Suzannah Leigh Design Ltd (“we”, “our”, “us”). By using our services, you (“Client”, “you”, “your”) agree to the following Terms and Conditions. Please read them carefully.
1. Services Provided
Suzannah Leigh Design Ltd specialises in providing graphic design services, including but not limited to logo design, branding, print design, digital design, website design, and other creative design services. The scope of the services will be agreed upon in writing prior to commencement of any project.
2. Project Scope and Deliverables
The scope of work, deliverables, deadlines, and fees will be outlined in the individual project agreement between Suzannah Leigh Design Ltd and the Client. Any additional work or revisions outside the original agreement may result in additional fees and will be communicated and agreed upon in writing.
3. Rates, Charges & Payment Terms
3.1 Standard Rates
Unless otherwise agreed in writing, the standard design rates are:
- £290 per day (standard working hours)
- £36 per hour (standard working hours)
3.2 Overtime, Evenings & Weekends
Work carried out outside normal business hours (including evenings after 6:00pm, weekends, and public holidays) may incur a surcharge or additional charge at our discretion. Any such surcharge will be confirmed in writing prior to commencement of the work.
3.3 Additional Costs
Any additional costs (including but not limited to printing, stock imagery, third-party licences, travel, courier services, or specialist production costs) will be invoiced separately in addition to the agreed project fee.
3.4 Payment Terms
Invoices are payable within 14 days from the invoice date, unless otherwise agreed in writing prior to commencement of the project.
A deposit (typically 50% of the total project fee) may be required before work begins. The remaining balance is due prior to release of final files or deliverables unless otherwise agreed in writing.
3.5 Late Payments
If payment is not received within the agreed 14-day term (or other agreed written terms), the following will apply:
We reserve the right to pause all ongoing work until outstanding invoices are settled.
A late payment charge of 1% of the total invoice amount per day will be applied for each day the invoice remains unpaid beyond the due date.
Continued non-payment may result in recovery action, with any associated costs recoverable from the Client.
4. Revisions and Feedback
We offer a specified number of revisions per project, as outlined in the project agreement. Revisions beyond this will incur additional charges. The Client agrees to provide timely feedback and approvals at each stage of the design process to ensure smooth and timely delivery.
5. Client Responsibilities
The Client agrees to provide all necessary information, assets, and feedback needed to complete the project, including images, logos, guidelines, and content. The Client also agrees to review and approve work at specified stages and provide timely feedback.
6. Ownership, Copyright & Portfolio Use
6.1 Ownership of Final Files
Upon full payment for the services rendered, the Client will own the final design files created for the project. Packaged and original design source documents may incur an additional charge.
6.2 Portfolio & Promotion
Unless otherwise agreed in writing, we retain the right to use and showcase any work created (including imagery, deliverables, project descriptions, and visual assets) on our:
- website portfolio
- social media accounts
- marketing and promotional materials
This includes work completed for Clients in connection with commercial, event, or internal use.
6.3 Exceptions
We will not showcase or publish client work if:
The project is subject to a signed Non-Disclosure Agreement (NDA)
The Client has expressly requested in writing that the work not be shared (prior to commencement)
In those cases, the work will remain confidential unless otherwise agreed, and a separate confidentiality fee may apply.
The Client is granted a non-exclusive, perpetual licence to use the delivered designs for the purposes specified in the project agreement. This licence does not transfer ownership of any pre-existing assets or third-party materials used in the design.
7. Confidentiality
We will maintain the confidentiality of all sensitive or proprietary information shared by the Client unless disclosure is required to perform the services or required by law.
8. Termination
Either party may terminate the agreement with written notice if the other party breaches the terms and fails to remedy within a specified period. Upon termination, the Client will be required to pay for any work completed up to that point, and we will provide the Client with all completed deliverables.
9. Liability
Suzannah Leigh Design Ltd will not be held liable for any direct or indirect damages arising from use of the designs, including third-party claims related to the designs. The Client agrees to indemnify and hold Suzannah Leigh Design Ltd harmless from any claims, losses, or legal actions arising from the Client’s use of the designs.
10. Force Majeure
We will not be liable for delays or failure to perform services due to events outside our control, including but not limited to natural disasters, war, government restrictions, industrial action, or other unforeseen circumstances.
11. Governing Law
These Terms and Conditions are governed and construed in accordance with the laws of the country in which Suzannah Leigh Design Ltd is based (United Kingdom). Any disputes shall be resolved in the applicable courts of that jurisdiction.
12. Changes to Terms & Conditions
We reserve the right to modify these Terms and Conditions at any time. Any changes will be communicated to the Client and will apply to new work completed after the updated terms are published.
